Creator & Partner Content Agreement

Effective Date: 23 March 2026

This Creator & Partner Content Agreement (“Agreement”) governs the relationship between Modelium Club (“Platform”, “we”, “us”) and any individual or entity (“Creator”, “you”) who uploads, lists, or offers Digital Products for sale on https://modelium.club.

By submitting a Creator application, uploading any content to the Platform, or accepting a Creator invite, you agree to be bound by this Agreement in full, as well as our Terms of Service and Privacy Policy.

1. Definitions

  • “Digital Product” means any three-dimensional design file (including .STL, .OBJ, .3MF, .STEP, and similar formats) you upload to the Platform for sale or distribution.
  • “Listing” means a published product page on the Platform describing a Digital Product and making it available for purchase.
  • “Revenue Share” means the percentage of net sales proceeds payable to you as described in Section 5.
  • “Platform IP” means all intellectual property owned by Modelium Club, including trademarks, logos, software, and Site design.
  • “Creator Content” means all Digital Products, images, descriptions, and other materials you upload to the Platform.

2. Creator Account and Eligibility

To become a Creator you must:

  • be at least 18 years of age;
  • have the legal capacity to enter into a binding agreement;
  • provide accurate personal or business information, including valid payment details for payouts;
  • not be located in a jurisdiction subject to applicable trade sanctions.

Creator accounts are approved at our sole discretion. We may decline or revoke Creator status at any time.

3. Intellectual Property — Your Content

3.1 Ownership

You retain full ownership of the intellectual property rights in your Creator Content. This Agreement does not transfer ownership of your designs to Modelium Club.

3.2 Licence to Modelium Club

By uploading Creator Content to the Platform, you grant Modelium Club a worldwide, non-exclusive, royalty-free, sublicensable licence to:

  • host, store, cache, and serve your Digital Products and associated materials to buyers;
  • display product preview images, descriptions, and renders on the Platform and in marketing materials;
  • create thumbnails and watermarked preview files;
  • include your products in Platform promotions, newsletters, and curated collections;
  • sublicence your Digital Products to buyers strictly in accordance with the Platform’s End User License Agreement (EULA).

This licence continues for as long as your content is listed on the Platform and for a reasonable period following removal to allow completion of existing orders and caching expiry.

3.3 Creator Warranties

By uploading Creator Content, you represent and warrant that:

  • you are the original author of the design, or have obtained all necessary rights and permissions to distribute it on the Platform;
  • your Creator Content does not infringe any copyright, patent, trade mark, trade secret, or other intellectual property right of any third party;
  • your Creator Content does not contain any third-party assets (e.g. licensed fonts, third-party models, stock assets) whose licence prohibits commercial distribution without specific authorisation;
  • your Creator Content does not violate any applicable law, including laws regarding illegal weapons, hazardous devices, or illegal objects;
  • any AI-generated elements in your designs comply with the terms of the AI tool used and do not infringe third-party rights.

IMPORTANT: You are solely responsible for ensuring you have the right to sell your designs. Modelium Club does not verify the originality or IP status of uploaded content. If your content infringes third-party rights and we receive a valid takedown notice, your content will be removed and your account may be terminated.

3.4 Indemnification

You agree to indemnify, defend, and hold harmless Modelium Club, its operators, employees, and agents from and against any claims, liabilities, damages, and expenses (including legal fees) arising out of or related to:

  • any actual or alleged infringement of third-party intellectual property rights by your Creator Content;
  • any breach of the warranties in Section 3.3;
  • any claim by a buyer arising from defects, inaccuracies, or misleading descriptions in your Listing.

4. Content Standards and Prohibited Content

All Creator Content must meet the following standards:

  • be accurately described — product pages must not contain false, misleading, or deceptive information;
  • include at least one representative render or photograph of the design;
  • be in a commonly used file format suitable for 3D printing (.STL, .OBJ, .3MF, or similar);
  • not contain embedded malware, trackers, or harmful code.

The following content is strictly prohibited:

  • Designs of functional firearms, firearm components, or accessories whose primary purpose is to make a weapon untraceable or circumvent legal restrictions.
  • Designs that are primarily intended to cause harm to persons or property.
  • Counterfeit or replica designs that infringe registered trade marks (e.g. counterfeit luxury goods, fake branded products).
  • Sexually explicit or pornographic content.
  • Designs depicting or glorifying child abuse, violence, terrorism, or hate speech.
  • Content that violates any applicable law in the EU or the Creator’s jurisdiction.

We reserve the right to remove any content that, in our sole judgement, violates these standards or is otherwise unsuitable for the Platform.

5. Revenue Share and Payments

5.1 Revenue Share

For each Qualifying Sale of your Digital Product, you will receive a revenue share of 80% of the net sale price (after deducting VAT and payment processing fees). The remaining 20% is retained by Modelium Club as a platform commission.

Revenue share rates may be changed with 30 days’ written notice. Existing rates apply to sales completed before the change takes effect.

5.2 Payment Schedule

Payouts are processed monthly provided:

  • your unpaid balance exceeds the minimum threshold of EUR 100;
  • your account is in good standing with no open disputes;
  • you have provided valid payout details (bank transfer, PayPal, or other supported method).

Payments are made in Euros (EUR). You are responsible for any applicable taxes in your jurisdiction. Upon request, we will provide a payout statement. We do not issue formal invoices on your behalf; where required by law, you must issue invoices to us.

5.3 Refunds and Chargebacks

If a sale is refunded or charged back under our Refund Policy, the corresponding revenue share will be deducted from your future payouts. If your account balance is insufficient to cover the deduction, we may recover the amount in subsequent payout cycles.

5.4 Pricing

You set the retail price of your Digital Products. Prices must be in Euros (EUR) and must meet any minimum price requirements we publish from time to time. We reserve the right to include your products in platform-wide promotional discounts with your prior consent (which you may grant or withhold per product).

6. Platform Rules and Creator Conduct

As a Creator, you agree to:

  • respond to customer support queries escalated to you within 5 business days;
  • promptly correct any factual inaccuracies in your Listings if brought to your attention;
  • not artificially manipulate reviews, downloads, or visibility rankings;
  • not contact buyers outside the Platform to offer competing products or services, or to circumvent Platform commissions;
  • not upload the same content to the Platform under multiple accounts.

7. Takedown and Account Suspension

We may remove your Creator Content and/or suspend or terminate your account if:

  • we receive a valid DMCA or DSA takedown notice relating to your content (see our Copyright Policy);
  • we determine, in our sole judgement, that your content violates Section 4 of this Agreement;
  • you breach any other provision of this Agreement or our Terms of Service;
  • your account is associated with fraudulent activity, chargebacks, or abuse.

We will attempt to notify you of content removals except where doing so would interfere with an ongoing legal or regulatory process.

8. Effect of Account Termination on Existing Purchases

If your Creator account is terminated for any reason:

  • existing buyers who have already purchased your Digital Products will retain access to their downloads in accordance with their License;
  • your Listings will be unpublished and no new sales will be processed;
  • outstanding payout balances for valid, non-disputed sales will be paid in the next regular cycle (except where termination is for cause, in which case balances may be forfeited at our discretion).

We are not required to keep your files hosted indefinitely following account termination. After a reasonable period (90 days), we may delete your uploaded files from our servers.

9. Relationship of the Parties

You are an independent contractor, not an employee, agent, or partner of Modelium Club. Nothing in this Agreement creates any employment, joint venture, or agency relationship.

10. Confidentiality

You agree to keep confidential any non-public information we share with you regarding Platform operations, revenue data, or technical systems, and not to disclose it to third parties without our prior written consent.

11. Modifications

We may update this Agreement with 30 days’ notice. Continued use of the Platform after the effective date constitutes acceptance. If you disagree, you may terminate your account before the changes take effect.

12. Governing Law

This Agreement is governed by the laws of Estonia. Disputes shall be resolved in the courts of Estonia.
